Map the commercial transactions
Describe the goods or services, principal counterparties, currencies and expected payment routes. For trading, include where goods are purchased and delivered. For services, identify the people doing the work. This helps your advisers assess the setup and gives the banking application a concrete business explanation.
Organise the local company roles
Confirm the directors, company secretary and registered-office arrangements for the chosen company. Ownership and control records need to remain current. If a corporate shareholder is involved, prepare its constitutional and registry documents with a clear chain to the ultimate owners.
Distinguish the annual return from financial reporting
Hong Kong’s Companies Registry requires an annual return for private companies, subject to the applicable rules. That registry filing is separate from business registration, accounting, audit and tax requirements. Identify who will handle each area and how transaction records will reach them throughout the year.
Banking requirements before incorporation.
Customer location alone does not prove that Hong Kong profits arose offshore. Keep evidence of where work, negotiation and management occurred. A bank’s review of the business and the tax authority’s assessment have different purposes.

Company management and your tax residence.
If you move between countries, start by establishing your personal tax residence and where the company is really managed. An address from a formation package cannot answer either question. Banking, CRS and FATCA documentation must reflect the underlying facts.
The owners and management
Where do the owners live, which citizenships and tax residences do they hold, and where are company decisions made? Explain changes of residence rather than assuming that travel removes a tax connection.
Customers and incoming payments
Identify customer countries, contracts, currencies and expected volumes. A provider needs to understand the source of the money, not just see a registration certificate.
Suppliers and outgoing payments
Map contractors, stock purchases and service providers, including the countries receiving funds. These flows should fit the activity described in the application.
The activity itself
A consultancy, a trading company and a regulated financial business face different acceptance rules. Check whether the institution supports the model before paying to incorporate.

Compare incorporation and government charges with the recurring secretary, office and financial-reporting costs. Accounting and audit work can depend on the volume and complexity of transactions. Ask whether banking preparation, certified copies and changes to ownership are included or quoted separately.

Is income earned outside Hong Kong automatically untaxed?
Do not assume that from incorporation alone. The source and nature of income, actual operations and current rules require professional assessment. Keep the contracts and transaction evidence needed to support that review.
When is the annual return due?
The Companies Registry generally requires a local private company’s annual return within 42 days after its incorporation anniversary, except in the year of incorporation. Confirm any particular exemption or status with the company’s appointed professional.
Does the annual return replace the accounts?
No. The registry return serves a different purpose from financial statements, audit work and tax filing. Your service scope should identify those responsibilities separately.
Can the bank application be completed without travel?
That depends on the bank, owners and activity. Confirm current identification and attendance requirements for your case. A company registration does not guarantee a remote account-opening route.
