Describe what the company will actually provide

State the product or service, how revenue is earned and where the clients are based. A vague activity description cannot resolve licensing. If the business involves finance, investments, payments or virtual assets, obtain a current assessment before treating ordinary company formation as a viable operating route.

The FSA’s business-company guidance requires applications through a licensed registered agent. Due diligence covers ultimate owners, shareholders and directors. Prepare identity and ownership documents together with an accurate business explanation, including any corporate entities in the chain of control.

Plan the company’s continuing obligations

Confirm the current renewal, recordkeeping, tax-identification and any applicable economic-substance requirements for the selected entity. The FSA uses the term Business Company for entities formerly described as IBCs. Your proposal should name the current form and identify the annual work it requires.

Banking requirements before incorporation.

A Saint Vincent business company does not license financial services in customer countries. Mobile founders should settle licensing and provider eligibility before using company formation as the first step in a payments, forex or investment business.

Where do the owners live, which citizenships and tax residences do they hold, and where are company decisions made? Explain changes of residence rather than assuming that travel removes a tax connection.

Customers and incoming payments

Identify customer countries, contracts, currencies and expected volumes. A provider needs to understand the source of the money, not just see a registration certificate.

Suppliers and outgoing payments

Map contractors, stock purchases and service providers, including the countries receiving funds. These flows should fit the activity described in the application.

The activity itself

A consultancy, a trading company and a regulated financial business face different acceptance rules. Check whether the institution supports the model before paying to incorporate.

    Send the proposed business model, owner residence and jurisdictions where services will be delivered. Include any existing licences or professional assessment relevant to the activity.

    Organise records for banking and confirm the separate permission, renewal and reporting work. Each bank or regulated-service application remains subject to its own decision.

Activities, permissions and banking

Does the FSA issue a forex-broker licence with the company?

No. In its current guidance, the FSA expressly states that it does not issue forex trading or brokerage licences. Registration is a corporate status, and the relevant authorisations must be addressed separately.

What is the current company called?

The FSA describes Business Companies, formerly International Business Companies, alongside other legal forms. Confirm the exact form in the proposal so you know which rules and maintenance requirements apply.

Can foreign owners and directors be involved?

The FSA’s business-company guidance allows shareholders, directors and officers to reside outside Saint Vincent and the Grenadines. The registered agent still needs the required identity, ownership and activity information.

Will incorporation guarantee a bank or payment account?

No. Provider acceptance depends on the activity, owners, client countries and supporting evidence. Regulated or higher-risk activities can require additional documentation or fall outside a provider’s criteria entirely.
