Confirm that an LLP suits the relationship

British Columbia distinguishes an LLP from a general partnership, an LP and an incorporated company. An LLP has no general partner. The extent of protection and the treatment of each partner’s own conduct require proper advice. Do not choose it simply because a package describes every Canadian entity as a company.

Document what the partners have agreed

Identify who contributes money or assets, who can commit the partnership and how income is allocated. Set out what happens when a partner leaves or another joins. If a partner is a company, prepare its registry documents and trace the ownership through to the individuals who ultimately control it.

Plan the provincial and tax administration

The BC registry publishes a specific LLP registration route and a separate annual-report form. The annual provincial filing does not settle Canadian tax reporting, indirect taxes or obligations in the partners’ countries. Appoint someone to maintain the records and coordinate the applicable work.

Banking requirements before incorporation.

A British Columbia LLP needs an actual partnership purpose. Partners living in different countries may face different classifications of the same income, so agree how profits, authority and records work before selecting a banking provider.

If you move between countries, start by establishing your personal tax residence and where the company is really managed. An address from a formation package cannot answer either question. Banking, CRS and FATCA documentation must reflect the underlying facts.

The owners and management

Where do the owners live, which citizenships and tax residences do they hold, and where are company decisions made? Explain changes of residence rather than assuming that travel removes a tax connection.

Customers and incoming payments

Identify customer countries, contracts, currencies and expected volumes. A provider needs to understand the source of the money, not just see a registration certificate.

Suppliers and outgoing payments

Map contractors, stock purchases and service providers, including the countries receiving funds. These flows should fit the activity described in the application.

The activity itself

A consultancy, a trading company and a regulated financial business face different acceptance rules. Check whether the institution supports the model before paying to incorporate.

    Provide the intended activity, partner identities and residence, management location and proposed customer countries. These facts make the structure review concrete.

    Confirm the proposed name, registration information and signing arrangements. Coordinate any certified corporate documents or translations required for the partners involved.

  3. 3. Prepare for transactions and renewals

    Assemble the partnership records and business evidence for the banking application. Agree responsibility for annual reporting and for the tax advice each partner needs.

Questions about a British Columbia LLP

Is this the same as a Canadian corporation?

No. The offering on this page is a British Columbia limited liability partnership. Its ownership arrangements and tax analysis are different from those of an incorporated company. Confirm the exact entity before comparing prices.

Must every partner live in British Columbia?

BC guidance allows a business to be started by a person living outside the province. Your particular partnership, registered details and intended activity still need review, including any professional or local licensing conditions.

Does an LLP automatically have no Canadian tax?

No such assumption should drive the choice. Activity, income source, the partners and applicable rules determine the analysis. Each partner also needs to consider reporting and tax treatment in their own country.

What should we check before relying on a bank account?

Confirm that the provider accepts this partnership form, the partner residences and the activity. Prepare the agreement, identity records and evidence of expected transactions. Registration cannot guarantee account acceptance.
