Company formation in the Marshall Islands

Review the corporate purpose, ownership records, economic-substance reporting and banking before formation.

Discuss my Marshall Islands company

Describe the assets or business involved. We can discuss the corporate route and the reporting and banking questions that follow from it.

Non-resident companies still have reporting duties

We coordinate Marshall Islands company formation for international business and ownership structures. Identify the company’s assets or transactions, the people in control and the reporting work it will need.

The Marshall Islands registry requires annual economic-substance reporting from non-resident domestic entities. That reporting is a separate question from whether a particular activity must satisfy substance requirements. Understanding the distinction helps you budget for maintenance and avoid treating the annual renewal as the only obligation.

Identify the company’s activity and records

The business behind the account
Your company
Owners
Residence and who makes decisions
Customers
Where payments come from
Suppliers
Where the company sends money
Activity
What customers actually buy

Together, these facts explain why the company needs this account.

Identify the company’s precise role

List what it will own, the contracts it will enter and the income it expects to receive. If the purpose involves a vessel or a maritime business, distinguish corporate formation from any separate vessel registration. Each step needs its own scope and relevant specialist review.

Assess reporting and relevant activity

The registry describes an annual economic-substance report for non-resident domestic entities. The company’s activity and circumstances determine the answers and any substantive requirements. Obtain the appropriate assessment and keep evidence supporting it, including where business functions and decisions occur.

Maintain ownership and financial records

The registry’s legal guidance addresses accounting and beneficial-ownership records. Maintain a clear chain to the individuals controlling the company and documentation of transactions. The bank will conduct its own assessment, including the owners, source of funds and countries involved.

Banking requirements before incorporation.

A Marshall Islands holding company needs a defined place in the ownership chain and an assessment of substance reporting. If owners and directors move between countries, record where management actually happens. Company registration is also separate from vessel registration.

Company management and your tax residence.

If you move between countries, start by establishing your personal tax residence and where the company is really managed. An address from a formation package cannot answer either question. Banking, CRS and FATCA documentation must reflect the underlying facts.

The owners and management

Where do the owners live, which citizenships and tax residences do they hold, and where are company decisions made? Explain changes of residence rather than assuming that travel removes a tax connection.

Customers and incoming payments

Identify customer countries, contracts, currencies and expected volumes. A provider needs to understand the source of the money, not just see a registration certificate.

Suppliers and outgoing payments

Map contractors, stock purchases and service providers, including the countries receiving funds. These flows should fit the activity described in the application.

The activity itself

A consultancy, a trading company and a regulated financial business face different acceptance rules. Check whether the institution supports the model before paying to incorporate.

Sources and further reading

Requirements depend on your circumstances. Check the original rules and agree the scope before proceeding.

Formation and reporting arrangements

  1. 1. Describe the intended structure

Provide the company purpose, owners, management location and expected assets or transactions. Include an ownership chart if other companies are involved.

  2. 2. Coordinate the formation file

The published company-document set includes the incorporation certificate, articles, bylaws and endorsement certificate. Confirm the current legal form and prepare identity, address and corporate-owner evidence for the registration arrangements.

  3. 3. Define the recurring responsibilities

Prepare records for the banking application and identify who will manage renewal, recordkeeping and economic-substance reporting. Confirm any specialist work separately.

Budget for recurring reporting

A proposal should show formation, local agent arrangements, company documents and annual maintenance separately. Include economic-substance assessment or reporting support where required, together with any certified documents. Asset-specific, maritime or regulated-activity work should not be assumed to be part of an ordinary incorporation fee.

Assets, reporting and registration

Is an annual economic-substance report required?

The registry states that non-resident domestic entities must file an annual economic-substance report. Whether an entity carries on a relevant activity, and the resulting requirements, needs a separate assessment of its facts.

Does company formation include vessel registration?

No such inclusion should be assumed. A vessel registration has separate eligibility, documentation and professional requirements. If that is your objective, describe it so the available service scope can be confirmed.

Can this structure provide regulated financial services?

Corporate formation does not authorise a regulated activity. The registry also identifies restrictions on particular activities. Explain the actual service and client locations for a current licensing and eligibility review.

What if the company only holds an asset?

The asset, source of income and management arrangements still matter. Holding activity should be assessed for its reporting, substance and tax consequences, with adequate ownership and financial records maintained.

Discuss your Marshall Islands company

The company’s role determines which records and reporting questions need attention. An asset-holding arrangement and an operating business should not be scoped as the same engagement. Bring the proposed ownership and purpose into the discussion before registration begins.
