Compare the jurisdiction, banking requirements and annual costs before you register. Off-Shore helps turn your business plans into an organised company setup.
We can discuss which company routes fit your business, what needs checking before registration and which services belong in the proposal.
Registration is only part of starting a company
We help you choose a jurisdiction and register a company abroad. The work starts with your contracts, ownership and payment needs, then covers formation and the administration you will need each year.
It is frustrating to pay for a company and then discover that your payment provider does not support it, the address is unsuitable for banking, or the annual obligations cost more than expected. These questions belong at the beginning. A useful comparison covers where you work, who pays you, who owns the company and what keeping it operational will require. A low advertised registration fee answers very little of that.
Check the bank and ownership requirements first
The business behind the account
Your company
Owners
Residence and who makes decisions
Customers
Where payments come from
Suppliers
Where the company sends money
Activity
What customers actually buy
Together, these facts explain why the company needs this account.
Where the business actually operates
We start with your products or services, customer countries, working location and any employees, premises or regulated activity. The country of registration is one part of the picture. Tell us where decisions are made and where work is performed so those facts can be considered from the outset.
Ownership and tax residence
The owners, their residence and any corporate shareholders affect the documents and professional advice needed. Incorporation does not settle the tax position of the company or its owners. Where a tax question determines the structure, it needs a qualified assessment before you commit to registration.
How money will move
Explain which currencies you need, where payments come from and whether customers pay by transfer, card or marketplace. Banking and payment-provider eligibility can narrow the choice of company. A registered address, an operating address and a bank-approved address may serve different purposes.
The cost after the first year
Consider registered-agent and address renewals, government charges, accounts, filings and document requests alongside formation. A structure should remain manageable as the business grows. We discuss recurring administration before you choose a route, so you can compare the ongoing commitment as well as the initial work.
What your service can include
The proposal sets out the work, documents and third-party services for your case.
Registration documents
Name checks, formation filing and the resulting formation or incorporation certificate, according to the jurisdiction and agreed package.
Registered agent and address
Coordination of the agent and registered address required for the selected company. The proposal identifies the service period and renewal arrangements.
Company rules
An Operating Agreement for the Delaware LLC service, or constitutional documents such as Memorandum and Articles for the relevant company type.
Ownership and initial decisions
The applicable package may include membership or share certificates, initial resolutions, and director or member registers. Documents differ by company type.
Tax-ID assistance
EIN or other tax-identification coordination where required and agreed. Issuance follows the relevant authority’s process and timetable.
Banking preparation
Help organising the business explanation and supporting company documents when included in the scope. Account acceptance remains the institution’s decision.
Banking requirements before incorporation.
Before filing, we work backwards from the institution you need and the business it must accept. Your residence, customer and supplier countries, and the activity should explain why this particular company belongs in this particular jurisdiction.
Aleksandar Dobromirov and the advisory team.
Aleksandar Dobromirov, CEO of Euro Commerce LLC, works with a team of lawyers and accountants on company structures and the administration that follows. His more than 30 years in business span international trade, representation, construction, marketing and management, as well as corporate, investment and holding structures. We bring the owners, customers, suppliers and activity into the same discussion before choosing where to register.
Company management and your tax residence.
If you move between countries, start by establishing your personal tax residence and where the company is really managed. An address from a formation package cannot answer either question. Banking, CRS and FATCA documentation must reflect the underlying facts.
The owners and management
Where do the owners live, which citizenships and tax residences do they hold, and where are company decisions made? Explain changes of residence rather than assuming that travel removes a tax connection.
Customers and incoming payments
Identify customer countries, contracts, currencies and expected volumes. A provider needs to understand the source of the money, not just see a registration certificate.
Suppliers and outgoing payments
Map contractors, stock purchases and service providers, including the countries receiving funds. These flows should fit the activity described in the application.
The activity itself
A consultancy, a trading company and a regulated financial business face different acceptance rules. Check whether the institution supports the model before paying to incorporate.
Sources and further reading
Requirements depend on your circumstances. Check the original rules and agree the scope before proceeding.
Describe what you sell, where the owners live and work, which countries customers pay from and where you pay suppliers. Include the commercial reason for a new company and any bank or payment platform that is essential to the plan.
2. Review the proposed setup
We discuss suitable jurisdictions, the required company type and the work involved. The proposal defines the scope and costs. Formation, tax identification, banking preparation and annual support should each have a clear place in that scope.
3. Prepare and file the documents
Once the route and engagement are agreed, we coordinate the required identification, company details and registration documents. Certification, translation and local requirements depend on the jurisdiction and ownership structure.
4. Move from formation to operation
After registration, the next tasks may include a tax identifier, banking preparation and arranging annual administration. Registry processing, tax identifiers and account applications follow separate stages; the certificate does not mean every stage is complete.
Compare the first year and annual renewal
Request a quote for your jurisdiction and scope. Compare government charges, registered agent, address, company documents, tax-ID support and any banking preparation, then ask for the recurring costs separately. Accounting, tax advice, certified documents, courier delivery and additional applications may carry separate charges. The agreed proposal is the basis for deciding what you are buying.
Off-Shore is a service of Euro Commerce LLC, coordinating company formation, banking preparation and ongoing administration from contact offices in the United States and Serbia.
Many formations can be coordinated remotely. The answer depends on the jurisdiction, the people involved and the document requirements. Banking may have separate video, certification or in-person checks even when the company itself is registered remotely.
Which jurisdiction should I choose?
Start with your activity, residence, customers and banking needs. A country that suits an international consultancy may be unsuitable for a business with local staff, regulated services or specific payment-processing requirements. We compare the relevant options with you.
Does an offshore company mean I pay no tax?
No. Tax treatment depends on the structure and the facts, including residence, management and business activity. Reporting can also be required when no tax is due. Your obligations at home need to be considered alongside those in the registration country.
Is a bank account included or guaranteed?
Banking preparation is included only where stated in the agreed scope. Every financial institution makes its own acceptance decision. We assess banking requirements early and help prepare the case; forming the company cannot guarantee an account.
What documents will I need?
Expect identification and address evidence for the relevant people, ownership details and a description of the business. Corporate owners and particular activities may require further records. We confirm the applicable requirements before the filing stage.
How long does the complete setup take?
The sequence depends on the jurisdiction, document readiness and services requested. Registration can finish before the tax identifier or banking application. Discuss the date you need to start trading so the outstanding dependencies are visible from the beginning.
Will my ownership stay private?
Public disclosure rules vary. Privacy in a public company register does not remove the obligation to identify owners to banks, service providers or authorities where required. We explain the relevant document and disclosure requirements for the proposed structure.
You need a company that serves a commercial purpose, with a credible path to payments and clear ongoing responsibilities. Off-Shore connects those questions before coordinating formation. Send a short outline of your business and the countries involved so we can discuss the options and scope.
